Security System Installation & Monitoring Services Payment Agreement

1. Scope of Work
Provider shall furnish all labor, materials, equipment, and services necessary to install and commission the security system described in Exhibit A (“Quote”). Provider shall also furnish professional monitoring services for the contracted monitoring term described in Section 4.

2. Substantial Completion
“Substantial Completion” shall be defined as the point at which the System has been physically installed, powered, connected, and made operational for its intended security function, regardless of any pending non material adjustments, software configuration, or user training.

3. Payment for Equipment and Installation
Upon Substantial Completion, the total contract price for all equipment, hardware, materials, and installation services shall become due and payable in full. Client agrees to remit full payment within 15 days of the Substantial Completion date.

4. Monitoring Services & Payment Terms
4.1 Activation. Monitoring services shall be deemed activated upon commissioning of the System.
4.2 Payment in Full.
Client agrees that the full monitoring service fee for the contracted monitoring term (e.g., 12, 18, 24, 30, or 36 months) is due and payable in full upon activation, and shall be included in the total amount due under this Agreement.
4.3 Non-Refundable.
Monitoring service fees are non-refundable once activated, regardless of Client’s continued use of the System.
5. Failure to Pay
Failure to remit payment in accordance with this Agreement may result in, without limitation:
• Suspension or deactivation of monitoring services
• Withholding of system credentials, remote access, or portal activation
• Assessment of late fees as permitted by law
• Provider pursuing any remedies available under applicable law, including collection costs and attorney fees

6. Ownership & Title
Title to all equipment shall remain with Provider until payment in full has been received. Provider may remove equipment in the event of non-payment, subject to applicable law.

7. Warranty
Provider shall provide a 1 year equipment warranty and a 30 day workmanship warranty, as detailed in Exhibit B. Warranty coverage is contingent upon full payment.

8. Term & Termination
The monitoring service term shall begin on the activation date and continue for the full contracted period. Early termination by Client shall not relieve Client of the obligation to pay the full monitoring service fee.

9. Limitation of Liability
Provider shall not be liable for consequential, incidental, or special damages arising from the use or failure of the System or monitoring services. Provider’s total liability shall not exceed the amount paid under this Agreement.

10. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior proposals or communications. Any amendments must be in writing and signed by both parties.
